1. Parties & Definitions

These Terms of Service ("Terms") govern your access to and use of the SignalPulse platform ("Service"), operated by DLS B.V., a company registered in the Netherlands under Chamber of Commerce (KvK) number 63625490 ("Provider", "we", "us").

"Customer", "you" refers to the business entity or individual subscribing to the Service. "User" refers to any person accessing the Service under a Customer account.

2. Service Description

SignalPulse is a B2B SaaS platform that uses AI-based algorithms (keyword matching and scoring models) to detect buying intent signals from publicly available web sources, including Reddit, Hacker News, Twitter/X, and Google News. The Service alerts sales teams to potential opportunities based on these signals.

Signal scores are AI-generated estimates and do not constitute guarantees of purchase intent, lead quality, or business outcomes. See our AI Transparency Disclosure for details.

3. Account & Eligibility

The Service is intended for business use (B2B). By creating an account, you represent that you are acting on behalf of a business entity and have the authority to bind that entity to these Terms. You are responsible for maintaining the confidentiality of your account credentials.

4. Subscription & Payment

• The Service is offered on a monthly subscription basis, with plans ranging from €49 to €149 per month (excl. VAT where applicable).
• Payments are processed via Mollie, supporting iDEAL, credit card, and other payment methods available through Mollie.
• Subscriptions renew automatically each month. You may cancel at any time; cancellation takes effect at the end of the current billing period.
• No refunds are provided for partial billing periods unless required by applicable law.
• We reserve the right to adjust pricing with 30 days' prior written notice. Continued use after the effective date constitutes acceptance of the new pricing.

5. Data Processing & Public Data

The Service monitors and processes publicly available content from web sources. We do not scrape, collect, or process personal data of third parties beyond what is publicly posted and accessible. The data sources include public forums, social media posts, and news articles.

6. Acceptable Use

You agree not to:

• Use the Service for any purpose that violates applicable law or regulation;
• Resell, sublicense, or redistribute the Service or its outputs without prior written consent;
• Attempt to reverse-engineer, decompile, or extract the underlying algorithms or models;
• Use the Service to harass, stalk, or target individuals based on the signals provided;
• Exceed reasonable usage limits or abuse the API in a manner that degrades the Service for other users.

7. Intellectual Property

All rights, title, and interest in the Service, including its algorithms, software, design, and branding, remain with DLS B.V. You retain ownership of your own data and configurations. We grant you a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or accuracy of signal data.
• DLS B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
• Our total aggregate liability for any claim arising from or related to the Service shall not exceed the amounts paid by you to DLS B.V. in the twelve (12) months preceding the claim.
• Signal scores and alerts are informational only. Business decisions made based on Service outputs are your sole responsibility.

9. Availability & Support

We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible. Support is provided via email at info@signalpulse.io.

10. Termination

Either party may terminate the subscription at the end of the current billing period. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to access the Service ceases, and we may delete your account data after a reasonable retention period (see Privacy Policy).

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.

12. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts in the Netherlands.
